Contract Elements

Your contract with Siemens for the purchase of products and services typically are comprised of the following three building blocks:

 

1) Order Form 

The Order Form is the commercial transaction document.  The Order Form is prepared by Siemens and may be called a Quote, Statement of Work or some other named document.  The Order Form identifies the specific offering(s) to be provided by Siemens and incorporates the two other building blocks into the contract for the Siemens products and services.  

 

2) Common Core Terms

Common Core Terms set out all of the general terms and conditions of your contract with Siemens.  The Common Core Terms are supplemented and amended by the Supplemental terms that correspond to the offering to be provided by Siemens identified under the Order Form.   

 

3)  Supplemental Terms

The Supplemental Terms supplement and amend the Common Core Terms for the specific Siemens product or service identified under the Order Form.

  • Hardware Supplemental Terms are applicable when the Order Form identifies Hardware as the offering to be provided by Siemens.
  • Services Supplemental Terms are applicable when the Order Form identifies Professional Services as the offering to be provided by Siemens.
  • Solutions Supplemental Terms are applicable when the Order Form identifies a Solution as the offering to be provided by Siemens..
  • General Software and Cloud Supplemental Terms are applicable when the Order Form identifies Software or Cloud Services or a combination of any of the foregoing as the offering to be provided by Siemens. Additional Supplemental Terms may be identified under an Order Form for specific Software and/or Cloud Services.
